These Terms of Service ("Terms") govern your access to and use of the Zakup mobile application (iOS and Android), backend services, and related functionality (collectively, the "Service").
By accessing or using Zakup, you agree to be bound by these Terms.
If you do not agree, you may not use the Service.
1. About Zakup
Zakup is a business-to-business (B2B) procurement platform operated by Zakup MSM LLC ("Zakup", "we", "us", "our").
Zakup enables businesses (such as restaurants, clinics, and suppliers) to:
- Collaborate with trusted partners
- Manage product catalogs
- Place and manage orders
- Exchange order-related information
Zakup is intended only for business use, not personal consumer use.
2. Eligibility
To use Zakup, you must:
- Be at least 18 years old
- Act on behalf of a business or legal entity
- Have the authority to represent your organization
Zakup is not intended for children.
3. Accounts & Access
3.1 Account Creation
Access to Zakup requires account registration using:
- A valid phone number (SMS authentication)
- Optional email address
You are responsible for:
- Maintaining accurate account information
- Keeping access credentials secure
- All activity performed under your account
3.2 Roles & Permissions
Users may have different roles and permissions (e.g. customer or supplier roles).
Zakup may restrict or modify access based on role, organization, or system rules.
4. Use of the Service
You agree to use Zakup lawfully and responsibly.
You must not:
- Use Zakup for illegal or fraudulent activities
- Attempt to access systems or data not authorized to you
- Interfere with the operation or security of the Service
- Upload or submit false, misleading, or harmful information
Zakup reserves the right to suspend or restrict access if misuse is detected.
5. Business Data & Content
You retain ownership of business data you submit, including:
- Product information
- Orders
- Comments related to order acceptance or rejection
By using Zakup, you grant us a limited right to process this data solely to provide the Service.
Zakup does not claim ownership of your business data.
6. No Payments in the App
Zakup does not process payments within the application.
All financial transactions, if any, occur outside the app and are handled directly between businesses.
Zakup is not responsible for:
- Payment disputes
- Invoicing
- Taxes
- Financial settlements between users
7. Communications & Notifications
Zakup may send:
- SMS messages for authentication
- Push notifications related to orders and system events
Users may manage notification preferences through device settings.
Zakup does not send marketing or advertising messages.
8. Availability & Changes
We strive to keep Zakup available and reliable, but:
The Service is provided "as is" and "as available"
We do not guarantee uninterrupted or error-free operation
We may:
- Modify features
- Add or remove functionality
- Temporarily suspend the Service for maintenance
9. Account Suspension & Termination
Zakup may suspend or terminate access if:
- These Terms are violated
- Required by law
- Necessary to protect the platform or other users
Users may request account termination by contacting us (see Section 14).
10. Data Protection & Privacy
Our collection and use of personal and business data is governed by our Privacy Policy, which forms an integral part of these Terms.
11. Disclaimer of Warranties
To the maximum extent permitted by law:
- Zakup provides the Service without warranties of any kind
- We do not guarantee accuracy, completeness, or fitness for a particular purpose
- Use of the Service is at your own risk
12. Limitation of Liability
To the maximum extent permitted by law, Zakup MSM LLC shall not be liable for:
- Indirect or consequential damages
- Loss of profits, data, or business opportunities
- Disputes between users or organizations
Zakup acts only as a technology platform, not a party to business transactions.
13. Governing Law
These Terms are governed by the laws of the Republic of Armenia, unless otherwise required by applicable law.
